Welcome to Lyriq Studio LLC! The terms “we”, “us” and “our” refer to Lyriq Studio LLC. Lyriq Studio LLC operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Lyriq Studio LLC is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with our Refund & Revision Policy and Affiliate Policy (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services. By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. You represent and warrant that all information you provide (email, billing, and prompt details) is correct and complete. You are solely responsible for maintaining the security of your account and for all account activity.
SECTION 2 - OUR PRODUCTS & AI GOVERNANCE
2.1 Creative Process. Lyriq Studio uses a proprietary human-guided workflow involving industry-standard generative artificial intelligence technologies to create custom songs and digital art.
2.2 Quality & Expectations. You acknowledge that AI-generated content may contain unique characteristics inherent to the technology. While we strive for excellence, we do not warrant that the Output will be a perfect replica of any specific reference, but rather an original work inspired by your requested genre, era, or style.
2.3 AI Governance & IP Safety. We adhere to a strict Internal AI Governance Policy designed to prevent the direct use of third-party intellectual property. While we invite you to provide "Reference Content" (such as a favorite song or artist) to help us understand your desired "vibe," Lyriq Studio LLC does not use the names, likenesses, or copyrighted lyrics of these third parties in our AI prompts. Instead, our human creators translate your references into generic musicological terms (e.g., "90s grunge with a heavy bassline"). This ensures every output is a unique, transformative work.
SECTION 3 - REVISIONS & REFUNDS
3.1 No Refunds for Custom Work. Due to the immediate costs associated with generating custom digital assets (including software credits and labor), all sales are final. No refunds will be issued once the creative process has begun or the digital files have been delivered.
3.2 Case-by-Case Flexibility. Lyriq Studio LLC reserves the right, at its sole discretion, to offer a credit or a re-generation if a significant technical error has occurred. These exceptions are made on a case-by-case basis.
3.3 Proofing Add-ons. Standard orders do not include revisions. Customers may purchase "Proofing Add-ons" (e.g., Lyric Proofing or Song/Art Proofing) for $10.00 USD at the time of purchase.
3.4 Post-Delivery Revisions. Any revision requested after a standard order is delivered, or after a purchased proofing round is exhausted, will be invoiced at $10.00 USD per minor revision. Major changes (e.g., change of genre or core subject) require a new order.
3.5 Cancellation. Cancellation requests must be sent to support@lyriq.studio within two (2) hours of purchase.
SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed. You represent and warrant that you are authorized to use the payment method provided and that all charges will be honored by your credit card company.
SECTION 5 - SHIPPING AND DELIVERY
For digital products, delivery is complete when the file is sent to your provided email. We are not liable for delays caused by email providers or filters. For physical prints ordered via Pictorem, Lyriq Studio LLC is not responsible for shipping delays, customs processing, or damage caused by the carrier.
SECTION 6 - INTELLECTUAL PROPERTY & OWNERSHIP
6.1 Our Intellectual Property. The Lyriq Studio LLC name, logos, and proprietary "AI Governance" processes are the sole property of Lyriq Studio LLC.
6.2 User License. Subject to full payment, Lyriq Studio LLC grants you a perpetual, worldwide, non-exclusive license to use, perform, and commercially exploit the custom Output (e.g., for social media, YouTube, podcasts, or personal use). This license specifically excludes the right to upload, distribute, or monetize the Output on Digital Service Providers (DSPs), including but not limited to Spotify, Apple Music, Amazon Music, or Tidal, via distributors such as DistroKid, TuneCore, or similar services.
6.3 Lyriq Studio LLC Retained Rights. Lyriq Studio LLC retains the exclusive right to distribute any Output to streaming platforms for promotional or royalty-earning purposes. We also retain the right to use any Output for our own promotional, marketing, and commercial purposes across all media.
6.4 No Warranty of Copyright. Due to the evolving nature of AI laws, Lyriq Studio LLC does not warrant or guarantee that the Output is eligible for federal copyright registration.
6.5 Rights Buyout & Full Transfer. If you wish to obtain full ownership and the right to distribute the Output to streaming platforms yourself, you may request a Full Rights Transfer. Such transfers are handled on a case-by-case basis and require an additional fee. To initiate a request, please contact service@lyriq.studio.
SECTION 7 - OPTIONAL TOOLS
We may provide you with access to third-party tools (such as AI previewers) which we neither monitor nor have any control over. You acknowledge that we provide access to such tools ”as is” without any warranties.
SECTION 8 - THIRD-PARTY LINKS & AFFILIATE DISCLOSURE
8.1 General Links. The Services may contain links to third-party websites. We are not responsible for the content or accuracy of these sites.
8.2 Pictorem Affiliate Partnership. Lyriq Studio LLC is an affiliate partner with Pictorem. When you purchase physical prints via our affiliate link, we receive a 15% commission.
8.3 Loyalty Reward. Customers who use our affiliate link are eligible for 10% off their next Lyriq Studio LLC order.
- Verification: The purchase must be successfully tracked via Pictorem’s affiliate system.
- Timeline: Please allow up to 14 business days for verification and delivery of your discount code.
- Technical Disclaimer: We are not responsible for tracking failures caused by ad-blockers or private browsing.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Lyriq Studio LLC is powered by Shopify. Shopify is not responsible for any aspect of sales between you and Lyriq Studio LLC. You hereby release Shopify from all claims and liabilities arising from your transactions with us.
SECTION 10 - PRIVACY POLICY
All personal information we collect is subject to our Privacy Policy and Shopify’s Privacy Policy. By using our Services, you acknowledge you have read these policies.
SECTION 11 - FEEDBACK
If you submit reviews or suggestions, you grant us a perpetual, worldwide license to use, modify, and display such feedback for any purpose, including commercial use, without compensation to you.
SECTION 12 - ERRORS AND OMISSIONS
We reserve the right to correct any typographical errors or inaccuracies relating to product descriptions, pricing, or availability, and to cancel orders if information is inaccurate, even after an order is submitted.
SECTION 13 - PROHIBITED USES
You may not use the Services for any unlawful purpose, to infringe upon intellectual property rights, to harass others, or to transmit malicious code. We reserve the right to terminate your access for violating these prohibitions.
SECTION 14 - TERMINATION
We may terminate this agreement at any time without notice. You remain liable for all amounts due up to the date of termination.
SECTION 15 - DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND PRODUCTS ARE PROVIDED 'AS IS' WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE YOUR USE WILL BE UNINTERRUPTED OR ERROR-FREE.
SECTION 16 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, Lyriq Studio LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS.
SECTION 17 - INDEMNIFICATION
You agree to indemnify and hold harmless Lyriq Studio LLC and its partners from any third-party claims arising out of your breach of these Terms or your violation of any law or the rights of a third party.
SECTION 18 - SEVERABILITY
If any provision of these Terms is determined to be unlawful or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force.
SECTION 19 - WAIVER; ENTIRE AGREEMENT
The failure to enforce any right shall not constitute a waiver. These Terms, including our Refund & Revision Policy and Affiliate Policy, constitute the entire agreement between you and Lyriq Studio LLC and supersede any prior agreements.
SECTION 20 - ASSIGNMENT
You may not assign your rights under these Terms without our consent. We may assign our rights and obligations without notice.
SECTION 21 - GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, USA. You consent to the personal jurisdiction of the courts in Maine.
SECTION 22 - HEADINGS
Headings are for convenience only and do not affect the interpretation of these Terms.
SECTION 23 - CHANGES TO TERMS
We reserve the right to update these Terms at any time by posting changes to our website. It is your responsibility to check for updates.
